MARKETING AND ADVERTISING SERVICES AGREEMENT

Individual Entrepreneur M. A. Zhygarev, acting on the basis of the Extract from the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations (hereinafter referred to as the "Contractor"), on the one part, and ____________________, represented by ____________________, acting on the basis of __________________________________ (hereinafter referred to as the "Client"), on the other part, jointly referred to as the "Parties", and individually as a "Party", have entered into this Agreement (hereinafter referred to as the "Agreement") as follows:
DEFINITIONS
1.1. Landing Page — a one-page website on the Internet created by the Contractor for the Client, the primary purpose of which is to collect contact information from the target audience, generate leads, or encourage users to perform a specific action (purchase, submit an inquiry, make a phone call, or register).
1.2. Google Ads — Google's online advertising platform providing tools and interfaces for creating, managing, publishing, and optimizing search, display, banner, and multimedia advertising campaigns across Google Search and the Google Display Network.
1.3. Technical Specification (TS) / Brief — a written document (Appendix No. 1 to this Agreement) containing a complete list of requirements regarding the design, structure, functionality, content, integrations of the Landing Page, as well as the configuration parameters of advertising campaigns. Any verbal agreements not documented in the Technical Specification shall have no legal force.
1.4. Advertising Account — an account within the Google Ads platform used for creating and managing advertising campaigns.
1.5. Advertising Budget — funds charged directly by Google Ads for impressions, clicks, or conversions, paid directly by the Client to Google Ads, and not included in the Contractor's service fee under this Agreement.
1.6. Lead — a completed contact form on the Landing Page containing a potential customer's contact information (name, phone number and/or email address), or a completed phone call or messenger interaction initiated from the website.
1.7. Intellectual Property — all copyright-protected materials created by the Contractor while performing this Agreement, including but not limited to source code, UI/UX design, layouts, advertising copy, graphic elements, and banners.
SUBJECT OF THE AGREEMENT
2.1. The Client engages, and the Contractor agrees to provide comprehensive marketing, technical, design, and advertising services on a turnkey basis (hereinafter referred to as the "Services"), the scope and specifications of which are defined by this Agreement and the Technical Specification (Appendix No. 1).
The Services include:
2.1.1. Planning, UI/UX design, website coding (development), and initial technical optimization of the Landing Page.
2.1.2. Design, configuration, and integration of web analytics systems, as well as setup and launch of Google Ads advertising campaigns.
2.2. The Client agrees to accept the Services properly rendered and to pay for them in accordance with the amount, procedure, and terms specified in this Agreement.
2.3. The Contractor shall have the right to engage third parties (subcontractors, designers, copywriters, software developers, and other specialists) without obtaining the Client's prior written consent. The Contractor shall remain fully responsible to the Client for the quality, confidentiality, and timely performance of all work performed by such third parties as if performed by the Contractor itself.
PROCEDURE, STAGES, AND TIMEFRAME FOR THE PROVISION OF SERVICES
3.1. The Services under this Agreement shall be provided through several consecutive and interrelated stages:
3.1.1. Stage 1: Preparation and Analysis. Completion and approval of the Technical Specification (Brief), competitor analysis, target audience identification, transfer of text, graphic, and other source materials by the Client, and approval of the logical structure of the Landing Page.
3.1.2. Stage 2: Landing Page Design. Development of an interactive wireframe, creation, and approval of the UI/UX visual design.
3.1.3. Stage 3: Technical Development. Website coding, responsive adaptation for mobile devices, tablets, and major browsers, implementation and testing of contact forms, and integration with messengers and CRM systems (within the technical capabilities specified in the Technical Specification).
3.1.4. Stage 4: Google Ads & Analytics Setup. Creation/configuration of the advertising account, keyword research, negative keyword development, ad copy creation, audience targeting (location, demographics, scheduling), and installation/configuration of conversion tracking through Google Analytics 4 (GA4) and Google Tag Manager.
3.1.5. Stage 5: Deployment and Testing. Publishing the Landing Page to the Client's hosting and domain, launching test traffic, and verifying conversion tracking, analytics, and overall system functionality.
TIMEFRAME, SERVICE FEES, AND PAYMENT TERMS

RIGHTS AND OBLIGATIONS OF THE PARTIES
3.2. The total period for completing all Services on a turnkey basis shall be from three (3) to five (5) business days.
3.3. The period specified in Clause 3.2 of this Agreement shall commence on the date when the last of the following events occurs:
3.3.1. Receipt of the advance payment to the Contractor's bank account in accordance with Section 4 of this Agreement.
3.3.2. Delivery by the Client of all required source materials, access credentials (hosting, domain, existing accounts, if applicable), and the finalized Technical Specification (Appendix No. 1), duly approved by both Parties.
3.4. The Client shall review and approve each intermediate stage of the work (wireframe, design, content, and functionality) within one (1) business day after receiving it from the Contractor.
If the Client delays approval or fails to provide the required information or access credentials, the completion deadline shall automatically be extended by the number of delayed days plus one (1) additional business day required for the Contractor to resume the technical workflow.
3.5. If the Client delays providing materials, approvals, or access credentials for more than ten (10) calendar days, the Contractor shall have the right to suspend the performance of this Agreement by notifying the Client via email.
Resumption of work after such suspension shall be subject to an additional written agreement and may require revision of the Service Fee due to changes in market conditions.
SERVICE FEES AND PAYMENT PROCEDURE
4.1. The total fixed price for the comprehensive development of the Landing Page and the setup of the Google Ads advertising campaign under this Agreement shall be UAH 22,500.00 (Twenty-Two Thousand Five Hundred Ukrainian Hryvnias, 00 Kopecks).
VAT is not charged because the Contractor is a registered Sole Proprietor operating under the Simplified Taxation System (Single Tax, Group III) in accordance with the laws of Ukraine.
4.2. Payment shall be made by the Client in the national currency of Ukraine via bank transfer to the Contractor's bank account specified in this Agreement.
4.3. The Services shall be provided on the basis of 100% advance payment. The Client shall pay the full amount specified in Clause 4.1, namely UAH 22,500.00, within three (3) banking days from the date of signing this Agreement.
4.4. The advertising budget for Google Ads shall be paid independently by the Client directly to Google Ads. Under no circumstances shall the Contractor use the Service Fee received under this Agreement to pay for advertising clicks, impressions, conversions, taxes, or any other charges imposed by Google Ads.
4.5. Each Party shall bear its own banking fees and transaction charges associated with making payments under this Agreement.
RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1. The Contractor shall:
5.1.1. Perform the Services professionally, in full compliance with this Agreement, with due care, and within the agreed deadlines.
5.1.2. Carry out the development of the Landing Page and the setup of Google Ads campaigns in accordance with the approved Technical Specification, current search engine algorithms, and Google's advertising policies in effect at the time of performance.
5.1.3. Promptly notify the Client of any technical, organizational, or software-related circumstances that may affect the quality or timing of the Services.
5.1.4. Ensure the confidentiality and security of all login credentials, passwords, hosting access, domain access, and other confidential information provided by the Client, and refrain from disclosing such information to unauthorized third parties.
5.2. The Contractor shall have the right to:
5.2.1. Suspend or postpone the performance of the Services if the Client fails to fulfill payment obligations or does not provide information or access credentials necessary for further implementation of the project.
5.2.2. Request from the Client any additional documents, marketing materials, product information, or clarifications reasonably necessary to improve the Landing Page conversion rate or the effectiveness of the advertising campaign.
5.2.3. Place a discreet copyright notice in the footer of the Landing Page, such as "Developed by IE M. A. Zhygarev", and use screenshots or anonymized project materials in the Contractor's professional portfolio unless otherwise prohibited by a separate written agreement between the Parties.

ACCEPTANCE OF SERVICES AND REVISION MANAGEMENT
RISK MANAGEMENT AND LIMITATION OF LIABILITY
5.3. The Client shall:
5.3.1. Pay for the Services in full and within the timeframes established by Section 4 of this Agreement.
5.3.2. Appoint an authorized representative responsible for communication with the Contractor and empowered to approve intermediate and final stages of the project.
5.3.3. Provide the Contractor with accurate text materials, graphic content, trademarks, licenses, certificates, permits, and any other documentation required for the lawful promotion of the Client's products or services, including documentation necessary for Google Ads verification and policy compliance.
5.3.4. Maintain a sufficient balance in the Google Ads advertising account to prevent advertising campaigns from being suspended due to insufficient funds.
5.4. The Client shall have the right to:
5.4.1. Monitor the progress of the Services without interfering with the Contractor's technical, programming, or operational activities.
5.4.2. Request information regarding the status of the project and the performance of the Services in accordance with the approved Technical Specification.
ACCEPTANCE OF SERVICES AND REVISION MANAGEMENT
6.1. Upon completion of all Services, the Contractor shall provide the Client with a Service Acceptance Certificate ("Acceptance Certificate") in electronic form (including electronic document management systems such as Vchasno or equivalent) or in two original hard copies.
6.2. Within two (2) business days after receiving the Acceptance Certificate, the Client shall either:
• sign and return one executed copy (or sign electronically using a qualified electronic signature); or
• provide the Contractor with a written, reasoned refusal specifying all justified comments and requested revisions strictly related to the approved Technical Specification.
6.3. Revision Policy.
6.3.1. Considering the accelerated project schedule (3–5 business days), the Service Fee includes only:
• one (1) consolidated round of design revisions;
• one (1) consolidated round of technical revisions during the development and testing stage.
6.3.2. A "revision round" means a single structured document or written list containing all requested changes. Submitting revisions through multiple emails, instant messages, or separate communications shall not constitute a single revision round.
6.3.3. Revision requests may not substantially alter the previously approved project concept, Technical Specification, information architecture, or website structure. Any request that changes the approved concept, structure, or business logic of the Landing Page shall be deemed a new project scope and shall require a separate written agreement and additional compensation.
6.4. If the Client fails to sign the Acceptance Certificate or provide a justified written refusal within two (2) business days, the Services shall be deemed fully completed, properly rendered, accepted by the Client without objections, and compliant with the Agreement.
In such case, the Acceptance Certificate executed solely by the Contractor shall have full legal force and shall constitute sufficient evidence confirming the proper performance and completion of the Services.
RISK MANAGEMENT AND LIMITATION OF LIABILITY
7.1. Technical Risks. The Contractor warrants that, as of the date of delivery, the Landing Page, contact forms, conversion tracking, and analytics integrations operate correctly in accordance with the approved Technical Specification.
The Contractor provides a 30-day technical warranty covering defects in the developed source code, commencing on the date the Acceptance Certificate is signed.
7.1.1. The Contractor shall not be liable for failures caused by hosting providers, domain registrars, Internet service providers, force majeure events, cyberattacks, DDoS attacks, hardware failures, power outages, or failures of third-party services beyond the Contractor's reasonable control.
7.1.2. Any unauthorized modification of the website source code, CMS configuration, plugins, server settings, or analytics systems by the Client or any third party automatically terminates the Contractor's technical warranty. Any restoration work in such circumstances shall be treated as additional paid services.

INTELLECTUAL PROPERTY RIGHTS
7.2. Google Ads Account Risks. The Contractor shall configure advertising campaigns in accordance with Google's official policies and guidelines in effect on the date of performance. However, the Parties acknowledge and agree that:
7.2.1. The Contractor does not guarantee that the Client's Google Ads account, advertisements, domain name, or other advertising assets will never be suspended, restricted, rejected, or permanently blocked by Google.
Such actions may occur due to changes in Google's advertising policies, automated moderation systems, industry-specific restrictions, suspicious payment activity, historical account violations, complaints from third parties, or other circumstances beyond the Contractor's control.
7.2.2. If the advertising account is suspended or restricted for reasons beyond the Contractor's control, the Services related to the setup of the advertising campaign shall nevertheless be deemed fully and properly performed.
Any services related to filing appeals, creating new advertising accounts, restoring advertising activity, or reconfiguring campaigns after such suspension shall constitute additional services and shall be subject to separate written agreement and additional compensation.
7.3. Commercial Performance Disclaimer.
7.3.1. The Contractor is responsible solely for the technical implementation of the Landing Page, the proper configuration of advertising campaigns, keyword research, conversion tracking, and compliance with the approved Technical Specification.
7.3.2. The Contractor does not warrant or guarantee any specific number of leads, telephone calls, inquiries, sales, revenue, conversion rates, return on investment (ROI), return on advertising spend (ROAS), or any other commercial performance indicators.
The Parties acknowledge that advertising performance depends on numerous factors beyond the Contractor's control, including but not limited to the Client's pricing strategy, product quality, competitiveness, sales process, customer service, market conditions, seasonality, and competitors' advertising activity.
7.4. Legal Responsibility.
The Client shall bear full legal, administrative, financial, and regulatory responsibility for the legality of its business activities, the accuracy of all information provided to the Contractor, and the existence of all licenses, permits, registrations, trademarks, and other authorizations required by applicable law.
7.4.1. The Client represents and warrants that all texts, photographs, trademarks, logos, videos, software, and other materials supplied to the Contractor do not infringe the copyrights, trademarks, intellectual property rights, or any other rights of third parties.
Should any third party assert claims against the Contractor arising from materials provided by the Client, the Client shall fully indemnify, defend, and hold harmless the Contractor against all damages, expenses, legal fees, settlements, judgments, and other losses.
7.4.2. The Client shall be solely responsible for ensuring that the Landing Page complies with all applicable laws, including but not limited to advertising regulations, privacy laws, consumer protection laws, cookie consent requirements, and personal data protection legislation applicable in the jurisdiction where the website operates.
INTELLECTUAL PROPERTY RIGHTS
8.1. All exclusive intellectual property rights to the work product created by the Contractor under this Agreement, including without limitation the website design, source code, layouts, graphics, advertising copy, and other creative materials, shall transfer to the Client only after:
• full payment (100%) of the Contract Price; and
• execution of the final Acceptance Certificate by the Parties.
8.2. Until both conditions specified in Clause 8.1 have been fulfilled, all intellectual property rights shall remain the exclusive property of the Contractor.
The Client shall not reproduce, publish, distribute, modify, commercialize, sublicense, or otherwise use the developed website, design, or source code prior to the transfer of ownership.
8.3. Rights to third-party licensed materials (including fonts, stock photographs, icons, software libraries, plugins, and similar components) shall be transferred to the Client only to the extent permitted under the respective license agreements of their owners.
Where commercial licenses are required, the Client shall be solely responsible for purchasing such licenses unless otherwise expressly agreed in writing.
CONFIDENTIALITY AND PERSONAL DATA PROTECTION
FORCE MAJEURE
TERM, AMENDMENT, AND TERMINATION OF THE AGREEMENT
FINAL PROVISIONS
9.1. The Parties undertake to maintain the strict confidentiality of all confidential information and trade secrets disclosed or otherwise made available during the negotiation, execution, performance, or termination of this Agreement.
Confidential Information includes, but is not limited to: login credentials, passwords, hosting access, server information, databases, CRM systems, business processes, financial information, commercial terms, marketing strategies, customer databases, and personal data.
9.2. Neither Party shall disclose, publish, transfer, or otherwise make Confidential Information available to any third party, nor use such information for its own benefit or for the benefit of any third party without the prior written consent of the other Party, except where disclosure is required by applicable law.
9.3. The confidentiality obligations established by this Agreement shall remain in force throughout the term of this Agreement and for a period of three (3) years following its termination or expiration.
FORCE MAJEURE
10.1. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay results from force majeure circumstances occurring after the execution of this Agreement and which the affected Party could not reasonably foresee, prevent, or overcome.
10.2. Force majeure events include, but are not limited to:
war, declared or undeclared military actions, mobilization, terrorist attacks, civil unrest, blockades, strikes, acts of government authorities, epidemics, pandemics, natural disasters, large-scale Internet outages, failures of Google services, prolonged interruptions of electricity or telecommunications (lasting more than twenty-four (24) consecutive hours), cyberattacks affecting critical infrastructure, and any other extraordinary circumstances beyond the reasonable control of the Parties.
10.3. The affected Party shall notify the other Party in writing (including by email or agreed electronic communication channels) within three (3) business days after becoming aware of the force majeure event, specifying its nature, expected duration, and the anticipated impact on the performance of this Agreement.
Upon request of the other Party, the existence of force majeure shall be confirmed by an official certificate issued by the Ukrainian Chamber of Commerce and Industry or another competent governmental authority where applicable.
TERM, AMENDMENT, AND TERMINATION OF THE AGREEMENT
11.1. This Agreement shall become effective upon execution by both Parties (including by means of a Qualified Electronic Signature where permitted by applicable law) and shall remain in force until all obligations of both Parties have been fully performed and all mutual settlements have been completed.
11.2. This Agreement may be amended or terminated at any time by mutual written agreement of the Parties.
11.3. Unilateral Termination.
11.3.1. The Client may terminate this Agreement by providing the Contractor with at least five (5) calendar days' prior written notice.
In such event, the Client shall pay the Contractor for all Services actually performed as of the termination date. Any advance payments corresponding to completed stages of the Services shall be non-refundable.
11.3.2. The Contractor may terminate this Agreement unilaterally if the Client delays payment by more than three (3) banking days or fails to provide the information, materials, or access credentials necessary for performance of the Services, thereby preventing completion of the project within the agreed timeframe.
In such event, the Contractor shall be entitled to retain payment for all completed work and reimbursement of documented expenses incurred before termination.
11.4. Any disputes, disagreements, or claims arising out of or relating to this Agreement shall first be resolved through good-faith negotiations.
If the Parties fail to reach an amicable settlement within fifteen (15) calendar days, the dispute shall be submitted to the competent courts of Ukraine in accordance with the applicable laws and jurisdictional rules of Ukraine.
FINAL PROVISIONS
12.1. Any amendments, supplements, appendices, or modifications to this Agreement shall be valid only if made in writing and duly executed by authorized representatives of both Parties, including through legally recognized electronic document management systems.
12.2. The Parties recognize the legal validity of electronic documents, electronic correspondence, notices, approvals, and other communications transmitted via the email addresses specified in this Agreement or through mutually agreed electronic communication channels, provided that such communications make it possible to reliably identify the sender.
12.3. This Agreement is executed in the English language in two (2) counterparts of equal legal force, one for each Party, or in a single electronic original executed through an electronic document management system.

Privacy Policy and Personal Data Processing
1. General Provisions
This Personal Data Processing Policy has been developed in accordance with the Law of Ukraine No. 2297-VI dated June 1, 2010, "On Personal Data Protection", and defines the procedure for processing personal data, as well as measures to ensure their protection on the website app-marketing.net (hereinafter referred to as the "Operator").
The primary objective of the Operator is to ensure the protection of the rights and freedoms of individuals when processing their personal data, including the right to privacy and personal and family confidentiality.
2. Definitions
Personal Data means any information relating directly or indirectly to a user of the website.
User means any visitor of the website digital-up.net.
Operator means the individual or legal entity that organizes and/or carries out the processing of personal data.

4. Purposes of Personal Data Processing
The User's personal data is processed for the following purposes:
- Providing customer support and feedback;
- Processing inquiries and orders;
- Providing services and fulfilling contractual obligations;
- Informing Users about new services, special offers, promotions, and company news;
- Improving website performance, user experience, and customer service.
The User has the right to unsubscribe from informational and marketing communications by sending an email to app.marketing.net@gmail.com with the subject line "Unsubscribe".
Anonymized Data
Anonymized User data may be used for analytical and statistical research, as well as for improving the performance of the website through the use of Google Analytics and other web analytics services.
